Encoding MP4 for xms888

Hi, guys.
It seems to me that a low frequences support can take a loong time, if ever. So I decided to reencode many of my movies to 44 or 48 Khz. Then I've got a problem. I do it in few steps: 1. split audio and video in VirtualDub
2. decompress audio to PCM. 3. convert PCM sound to 44 or 48 khz depending on original setting (say 22->44, 24->48 etc). 4. compress it with Lame 3.95, 128kbs. 4. interleave each videoframe (40 ms) in VirtualDub.

The major problem is that such reencoded files are not searchable. You
can play them but no forward, back and go to. You just get "evil" hand.
They have the same attributes in GSpot as "normal" ones. Any advice how to fix them ???

I found another annoying thing: if GSpot shows
A/V interleaving : 1 vid frame (40 ms) NG=3408 Split: Yes,
then sound will always break with any frequences, bitrates (!).
The magic is in "NG=3408", no idea what is that. No idea what program
produced these files either, I got them as ready MP4 disks.

Sound reencoding, I/L changing with video in direct stream mode doesn't help.
However, if you cut off the first key frame of the file with VirtualDub, interleaving in GSpot changes to:
I/L: 1 vid frame (40 ms) Split: No
and these files play fine on XMS-888 but become non-searchable ....
Any comments ?

On the 'no fast forward, rewind, goto etc' problem, I have found that it can be very fussy.
On one DVD, I put 5 avi's, 4 of them were encoded by me using exactly the same codec, same program, same settings etc.
1 of the 4 exhibits the 'evil hand' on ffwd, rwnd, goto etc. The other 3 work perfectly.
So... Perhaps there is more to it than just a setting, because as I mentioned all 4 were encoded exactly the same.

It's weird ... I tried few versions of VirtualDub and here are the results:
I took the same movie, DivX 5.0, 48khz, 128kbs, I/L 40 ms and processed
it with earlier version of VIrtualDub 1.3c (later versions produce non-searchable files).
1. First 10 mins cut plays fine and ffwd, rwnd, goto work.
2. Second 30 mins (out of the same file !) cut plays but no goto, ffwd, rwnd.
What is this ???
